1. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales for any dispute or claim arising out of these Terms.

2. Consumer Rights (UK)

If you are a consumer, our services come with statutory rights under the Consumer Rights Act 2015. We provide services with reasonable care and skill. If a service does not conform to these standards, you have the right to:

Request a repeat performance; or

A price reduction or refund if repeat performance is impossible or not provided within a reasonable time.

3. Service Delivery & "72-Hour Setup"

The Clock: Our "72-hour setup" guarantee begins only once the Client has successfully submitted all required assets via the Official Onboarding Form (including Logo, Domain details, and AI Knowledge Base).

Scope: "Setup" refers to the initial deployment of the website and AI bot. Customizations or "scope creep" requested after initial deployment are subject to standard agency turnaround times and may incur additional fees.

4. Subscription & Billing

Recurring Fees: By purchasing, you authorize a recurring monthly or annual subscription fee starting 30 days (for monthly) or 365 days (for annual) from the date of initial purchase.

Cancellation: You may cancel your subscription at any time via your client portal or by emailing [email protected]. To avoid the next billing cycle, cancellations must be made at least 3 business days prior to the renewal date.

Cooling-Off Period: As a B2B (Business to Business) service, the statutory 14-day cooling-off period for consumers generally does not apply. All sales to businesses are final upon the start of the setup process.

5. AI Systems Disclaimer

Accuracy: Our AI models are trained based on the data provided by the Client. While we strive for high accuracy, we do not guarantee that the AI will be error-free or "hallucination-free."

Client Review: The Client is responsible for reviewing the AI's "Knowledge Base" and testing its responses. Vysto Operations is not liable for any incorrect information, advice, or bookings made by the AI.

6. Intellectual Property & Assets

You represent that you own or have permission to use all logos, images, and data provided to us.

You grant us a non-exclusive, royalty-free license to use these assets solely for the purpose of building and maintaining your digital presence.

7. Limitation of Liability

To the maximum extent permitted by law, Vysto Operations (and its directors/employees) shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data, arising from the use of our services or the performance of the AI chatbot. Our total liability for any claim shall not exceed the amount paid by the Client for the service in the 6 months preceding the claim.

8. Privacy & Data Protection

Your privacy is important to us. Please refer to our Privacy Policy for information on how we collect, use, and protect your data in compliance with the UK GDPR and the Data Protection Act 2018.
